LEGAL REPRESENTATION

The Brazilian Legislation, especially in Paragraph 1 of Article 7 of Normative Instruction No. 1,863/2018 of the Federal Revenue of Brazil (RFB), establishes that Foreign Companies with subsidiaries in Brazil and owning assets and rights in the country need a legal representative constituted and domiciled in Brazil to legally represent them.

The Brazilian resident legal representative must have express powers to act on behalf of the Foreign Corporations, such as Powers to manage the assets and rights of the entity in the country;

  • Represent the Foreign Corporation before the Brazilian Internal Revenue;
  • Service and resolve any questions related to the operation in Brazil;
  • Represent the Foreign Corporation before Banks, Municipal, State and Government Agencies; and;
  • Capacity to receive a summons in lawsuits on behalf of the Foreign Corporation.

Shelf Company is characterized by a company that contains the basic registrations necessary for the beginning of its activity.

MAINTENANCE OF CERTIFICATES (PUBLIC BIDS)

The maintenance of certificates encompasses the periodical obtaining of all certificates issued by the various Public Power bodies to allow the client, at any time, to prove the regularity of its Company.


This regularity is important for contracting with the Public Administration, participating in Tenders, signing Contracts pertinent to works, services, including Advertising, Purchases, Disposals and Rentals in the scope of the powers of the Union, the States, the Federal District and the Municipalities.
